These Terms of Use (hereinafter — the "Terms") set out the rules for using the website https://vladik.help and the Personal Account (hereinafter jointly — the "Website"), which belong to LIMITED LIABILITY COMPANY "VLADIK HELP" (ТОВ «ВЛАДІК ХЕЛП») (hereinafter — the "Operator", details — section 10).
1. General provisions
1.1. By using the Website (viewing pages, registering, using the Personal Account), the user accepts these Terms. If you do not agree with the Terms — cease using the Website.
1.2. Relationship between the documents. These Terms govern the use of the Website as such. Paid consulting and informational services on admission to higher education institutions shall be provided on the basis of a separate agreement — the Public Offer; refunds shall be governed by the Refund Policy; the processing of personal data — by the Privacy Policy. In case of discrepancies concerning paid services, the Public Offer shall prevail. The terms "Customer", "Applicant", "Stage", "Personal Account" shall be used in the meanings defined by the Public Offer; the Operator and the Contractor under the Public Offer are one and the same person (section 10).
1.3. Purpose of the Personal Account. The Personal Account is a means of communication between the user and the Operator's consultants and an environment for exchanging documents and tracking the status of tasks. The Personal Account is not a standalone product or an automated service: consultations, the review of documents and recommendations shall be performed personally by the Operator's employees and engaged specialists, and the Internet shall be used solely as a means of communication and of transferring documents.
1.4. The Website is not intended for the persons specified in clause 3.7 of the Public Offer: those residing or staying in the territory of the russian federation or the republic of belarus or in the temporarily occupied territories of Ukraine, as well as citizens of the russian federation and the republic of belarus (save for those residing in the territory of Ukraine on lawful grounds); services shall not be provided to such persons.
2. Account
2.1. Registration shall be required in order to use the Personal Account. The user shall be obliged to provide accurate data and to keep it up to date. One user — one account.
2.2. The user shall independently maintain the confidentiality of the means of access (password, confirmation codes) and shall be liable for all actions performed from the user's account until the user has notified the Operator of a compromise at [email protected].
2.3. An account for an underage Applicant shall be created by the Applicant's legal representative (section 10 of the Privacy Policy).
2.4. The Operator shall have the right to suspend access to an account in the event of: a well-founded suspicion of compromise; a breach of section 3 of these Terms; a requirement of law. The Operator shall notify of the suspension and of its reasons to the account's email address. If the user is a Customer with paid Stages, suspension of access to the Personal Account shall be possible only on the grounds provided for by clauses 7.2 "b" and 9.6 of the Public Offer; for the period of the suspension, the running of the periods under clauses 5.6 and 5.7 of the Offer shall be suspended, and the exchange of documents and messages shall be carried out by the account's email. Suspension of access to the Website shall not deprive the Customer of the rights under the Public Offer.
3. Rules of use
The user shall be prohibited from:
a) interfering with the operation of the Website, circumventing protection measures, gaining unauthorised access to other persons' accounts or data;
b) using automated means of collecting data from the Website (scraping, bots) without the Operator's written consent;
c) uploading malicious code, as well as materials that violate the law or the rights of third parties;
d) uploading forged or inaccurate documents or impersonating another person;
e) transferring access to the Personal Account to third parties (save for the Applicant's legal representative);
f) using the Website for any activity unrelated to obtaining the Operator's services.
4. Intellectual property
4.1. All materials of the Website (texts, design, logos, the Vladik.help trade mark, software code, as well as materials prepared by the Operator's consultants) belong to the Operator or are used by it lawfully. The user may use the materials provided to the user within the scope of the services solely for the user's own admission; copying, distribution or commercial use without the Operator's written consent shall be prohibited.
4.2. The documents and materials which the user uploads to the Personal Account shall remain the user's property. The user grants the Operator a non-exclusive right to store, reproduce and process these materials solely for the purpose of providing the services under the Public Offer.
4.3. The user warrants that the user holds the rights to the uploaded materials and that they are genuine.
5. Information on the Website
5.1. Publicly available information on the Website (descriptions of admission procedures, requirements of higher education institutions, deadlines) is of a reference nature, is based on officially published sources as at the date of publication and may be changed by the relevant institutions. The requirements determined by the higher education institution or by the competent authority shall be final. The terms on which paid services are provided shall be determined solely by the Public Offer (advertising and reference materials shall not form part of the Agreement).
5.2. The Website may contain links to third-party resources (HEI portals, Universitaly, etc.). The Operator does not control their content and shall not be liable for it.
6. Availability of the Website
6.1. The Operator shall endeavour to ensure the uninterrupted operation of the Website as a means of communication, however it does not guarantee the continuous availability of the free part of the Website: technical breaks, updates and failures are possible, including for reasons beyond the Operator's control. The obligations in respect of paid services (time periods, the procedure for their provision, liability) shall be determined by the Public Offer and shall not be affected by this clause.
6.2. The Operator shall have the right to change the structure and functionality of the Website, provided that this does not narrow the scope of the services under Stages already paid for.
7. Liability
7.1. The free part of the Website is provided "as is". To the extent permitted by law, the Operator shall not be liable for losses caused by the impossibility of using the free part of the Website.
7.2. Liability in respect of paid services shall be determined by the Public Offer and by law. Nothing in these Terms shall limit the consumer's rights established by the legislation of Ukraine.
7.3. The user shall be liable for damage caused to the Operator or to third parties as a result of a breach of these Terms, in particular as a result of uploading inaccurate documents.
8. Personal data
Personal data shall be processed in accordance with the Privacy Policy. Upon registering, the user gives consent to the processing of data by a separate tick box, which is not pre-ticked.
9. Amendments to the Terms and applicable law
9.1. The Operator shall publish new revisions of the Terms on the Website, stating the number and the date of entry into force; the Operator shall notify registered users of material changes by email. Continued use of the Website after a new revision has entered into force shall mean agreement with it. The Public Offer in the revision in force at the moment of acceptance shall apply to the relations in respect of Stages of the services already paid for.
9.2. These Terms shall be governed by the law of Ukraine. The language of the Terms is Ukrainian; translations are placed for convenience, and the Ukrainian version shall prevail.
